The short version
- ShowMarshal provides the software that runs your car show. You run the show.
- You pay for your plan: a setup fee in year one, a license (yearly, or monthly charged automatically) and your show days, at the prices on your order.
- Car owners pay a $2.50 platform fee per registration and fans pay a 65 cent service fee per paid ticket. Those fees are ours and are paid by them, not by you.
- Registration, ticket, booth and invoice money goes straight to your own Stripe account. You are the seller (the merchant of record), so refunds and chargebacks on your sales are yours.
- A yearly plan renews by itself on the anniversary of signing, with the card on file, at the prices you signed at. We email you 30 days before, and you can stop it any time before that day.
- You own your show's data. You can download it from Settings at any time.
- We work hard to keep the service running and we watch your show days, but we do not promise it never goes down.
- California law applies.
1This agreement
These Promoter Terms ("Terms") are an agreement between ShowMarshal, of Santa Ana, California ("ShowMarshal," "we," "us"), and the person or organization that runs a car show on ShowMarshal ("you," the "Promoter"). They cover your plan and your use of the promoter hub, your show's apps and pages, online sales, invoices, messages, and our support.
You accept these Terms when you tick the box that says you agree and pay on your ShowMarshal pay link, when you tell your ShowMarshal representative on the phone that you agree before your card is taken, or when you sign a copy of these Terms. We keep a record of which version you agreed to, when, and how. If you accept for a company or club, you confirm you may bind it.
Our Terms of Service and Privacy Policy also apply. If they conflict with these Terms about your plan or your show's business with us, these Terms control.
2What ShowMarshal provides
- The promoter hub: registrations and numbered spaces, the space map, Scan at the gate (dash cards, tickets, booths and volunteer codes), tickets, Money (your book, invoices to sponsors and vendors, and your Stripe payouts), the waitlist and refunds, returning owners and Roll to next year, Rain day, vendors, sponsors and the sponsor report, volunteers, judging and awards, blasts, the budget, reports, permits and safety, Print and promo, and staff logins.
- Your show's apps and pages for car owners, fans, vendors and sponsors, in English and Spanish where the screen offers it.
- Setup in year one, including drawing your space map with you.
- Support by email and phone, and a watch on your show days (section 11).
We may improve, change or retire features over time. We will not take away something your plan depends on in the middle of your license year without telling you first, and never during your show days.
3What you pay
- Your plan. A setup fee in your show's first year, a license for each year (paid yearly, or monthly in 12 payments), and your show days (counted from your show's dates). The prices are the ones on your order (your pay link or your signed copy). Taxes, if any, are extra.
- The per car fee. Car owners pay ShowMarshal a $2.50 platform fee for each registration. It is added to what they pay and is not part of your price. A car that pays you cash at the gate owes no platform fee. It is not refunded when you refund a registration; it is returned only when an owner paid and got no space, or where the law requires.
- The per ticket fee. Fans pay ShowMarshal a 65 cent service fee for each paid ticket, shown before they pay. There is no fee on free tickets or on tickets you sell for cash at the gate. When you refund a whole ticket order, the fee goes back to the fan too; on a rain-out refund of one day it does not.
- No fee on sponsor or vendor money. We take no share of your sponsorships, booth fees or the invoices you send sponsors and vendors. Stripe's own processing fee applies to those payments, and comes out of your share.
- Card processing. We pay the card fees on your plan payments and on the $2.50 fee. On your own sales (registrations, tickets, booths, invoices), Stripe's processing comes out of your share, as with any seller.
4Paying for your plan
- A yearly plan is paid in full before your show's setup begins. You pay on Stripe's page with a card; Stripe keeps the card on file for your renewals. We never see or store the full card number.
- A monthly plan is charged automatically to the card on file each month. If a charge fails, Stripe tries again over the following days and we contact you. Its show days are billed once a year: with the first payment, and in each later year by an invoice sent 30 days before the anniversary of your order and charged to the card on file on the anniversary.
- You can pay by check or bank transfer instead when we agree to it in writing.
- Late payment. If a plan payment stays unpaid, we email you and your hub keeps working. After 30 days unpaid, your hub shows a notice that the plan is unpaid. If it is still not paid after that, we may pause your show's online sales after telling you by email: while paused, new registrations, tickets, booth and invoice payments stop, while your hub, your public pages, the gate and everything already sold keep working, and your data is kept. Paying what is due turns sales back on by itself.
5Renewals and the price you signed at
- A yearly license renews by itself on the anniversary of the day you signed (the day you agreed to these Terms). 30 days before, we email you the renewal invoice: what it covers, the amount, and the day the card on file is charged. On that day we charge the card through Stripe and email you a receipt.
- If the card is declined, we email you a secure pay link that day to pay with another card (it is then kept for next year), and we try the card on file again on day 7 and day 14 with a reminder each time.
- A monthly plan simply continues each month.
- Grandfather rule. You keep the prices you signed at for as long as you renew every year without a gap. If you leave and come back, current prices apply.
- To stop renewing, email [email protected] any time before the renewal day. Nothing more is charged, and your current year runs to its end.
- Next year's show. When you roll your show to next year in the hub, it stays on the same plan and the same renewal; it is not a new plan.
6Cancellation and refunds of your plan
- Setup: not refundable once we have started your map work.
- License: if you cancel before your show opens registration for that license year, we refund the unused full months. After registration opens, that year's license is not refundable. A monthly plan stops at the end of the month you cancel in.
- Show days: refunded in full if your show is canceled before its first show day.
- Plan refunds go back to the card or account you paid with.
7Online sales and Stripe Connect
- To sell registrations, tickets and booths online, and to send invoices, you connect your own Stripe account (a Stripe Connect Express account) from the hub. Stripe's Connected Account Agreement applies between you and Stripe, and Stripe may ask you for identity and bank details.
- You are the merchant of record for everything you sell through ShowMarshal: registrations, add-ons, tickets, booths, sponsorships and invoices. Each sale is one charge, made in your name; Stripe sends your share to your Stripe account and pays it out to your bank on Stripe's schedule. Our fee, where there is one, is taken from the same charge. ShowMarshal never holds your money.
- Refunds. You decide refunds under your own posted policy and issue them from the hub. When you do, your share comes back out of your Stripe account.
- Chargebacks. Chargebacks on your show's money (registrations, tickets, booths and sponsor or vendor invoices) are yours: when one is lost, the money you were paid for that charge comes back out of your Stripe account, and it shows on your Money screen as Chargeback lost. You answer the dispute with your evidence and we help. Any negative balance in your Stripe account is yours to cover, as Stripe's terms say.
- Rain day. When you call a show day off in the hub and choose refunds or credits, you instruct us to carry them out for you: we issue the refunds or credits you chose through your Stripe account, for owners, ticket buyers and vendors, and tell everyone. The $2.50 per car and the 65 cents per ticket are not refunded on a rain-out.
- Until your bank is connected, online sales and invoices stay closed. Cash sales at the gate still work.
8Invoices to sponsors and vendors, and bank payments (ACH)
- From Money in the hub you can send a sponsor or vendor an invoice with a pay link. They pay you by bank account (ACH) or, if you allow it, by card, on Stripe's page.
- A bank payment takes a few business days to clear and can still fail after it starts (for example, for insufficient funds or a closed account). The invoice shows it as on its way until Stripe confirms it, and as failed if it fails, with a way to pay again. The payer authorizes the one debit on Stripe's page under Stripe's ACH authorization; a payer may dispute an unauthorized debit with their bank, and those disputes are handled like chargebacks (section 7).
- Your sponsorship and booth agreements, prices and promises are between you and each sponsor or vendor. We do not take a share.
9Messages to your people
- You may send blasts, emails and texts through ShowMarshal only to people connected with your show and only about it.
- Texts go only to people who opted in themselves, and every text follows the opt-in, STOP and HELP rules in our Terms of Service. We send all texts from our registered number; a STOP ends texts from us.
- Group emails (to owners, vendors or volunteers) carry an unsubscribe link and are not sent to people who unsubscribed. Do not use ShowMarshal to send unrelated marketing, and follow the CAN-SPAM Act and the Telephone Consumer Protection Act.
- Sponsor offers go only to people who ticked the separate box for them.
10Your data, files and privacy
- You own your show's data. We use it only to run ShowMarshal for you, as these Terms and our Privacy Policy say. We do not sell personal information.
- Download it any time. Settings in the hub has a download of your show's data (registrations, owners, tickets, vendors, sponsors, volunteers, invoices and the show's setup) as one file. When your plan ends, download it within 30 days (or ask us for a copy); after that we may delete your show's data, except records the law requires us to keep.
- Files. Documents and pictures uploaded to your show (insurance certificates, permits, logos, print artwork) are kept for two years after your show, then deleted. Print artwork never sent in an order is deleted after 30 days.
- Gate records. Scans at the gate are kept for about 13 months, so you can compare with last year, then deleted.
- You may use the information of your show's car owners, fans, vendors, sponsors and volunteers only to run your show and as the law allows, including California's privacy law where it applies to you.
11Uptime, backups and show days
We use reasonable efforts to keep ShowMarshal running. We back it up every night, check that it answers every minute, and on your show days we watch it live and are told within minutes if it stops answering. Check-in and the fan map keep working on phones with no signal. We do not guarantee any particular uptime. Our watch on your show days is a service we provide to help, not a guarantee that nothing goes wrong.
12Print and promo
The Print and promo screen in your hub sends print and promotion orders to ZOOGABOOG!, a separate company that quotes and does that work. When you send an order, ZOOGABOOG! receives the items, your show's name, dates and counts, its sponsor and award names, the artwork and notes you add, and your contact and shipping details. It does not receive your car owners', fans' or volunteers' personal information. Prices, delivery and payment for that work are between you and ZOOGABOOG!, not part of your ShowMarshal plan.
13Your responsibilities
- You run the show: the venue, permits, insurance, safety, your rules, your refund policy and your prices.
- The information you put on ShowMarshal is accurate, and you have the right to use it, including every list you import.
- You follow the law, including the rules for texting and emailing people, privacy, and taxes on what you sell.
- You keep your logins safe and are responsible for what your staff do with them.
14Limitation of liability
To the fullest extent the law allows, ShowMarshal is not liable for indirect, incidental, special or consequential damages, or for lost profits or revenue, and our total liability to you for any claim under these Terms is limited to the plan fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
15Indemnity
You will defend and hold ShowMarshal harmless from claims arising from your show, your rules, your sales, your messages, or your breach of these Terms. We will do the same for claims that ShowMarshal's software, used as intended, infringes someone else's rights.
16Term and ending
These Terms last as long as you have a show on ShowMarshal. You may stop renewing as section 5 says. Either side may end them by email if the other seriously breaks them and does not fix it within 30 days. Sections 3 (amounts already owed), 6, 7, 10, 14, 15 and 17 survive.
17California law and disputes
California law applies. We will first try to settle any dispute by talking. If that fails, the state and federal courts in Orange County, California decide it.
18Changes to these terms
We may update these Terms. A new version applies to you from your next renewal, and we tell you at least 30 days before. Each version has its own number and date.
